License Agreement

Panda Merge

Effective Date: February 24, 2026

1. Definitions

  • "Game" refers to Panda Merge (package: com.sensei.pandamerge), including all associated assets, code, and content.
  • "Licensor" refers to Sensei Studios, the developer and publisher of the Game.
  • "User" or "You" refers to any individual who downloads, installs, or uses the Game.

2. Grant of License

Subject to the terms of this Agreement, the Licensor grants You a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Game on compatible devices solely for personal, non-commercial entertainment purposes.

3. Restrictions

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Game or any part thereof.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Game, except to the extent expressly permitted by applicable law.
  • Remove, alter, or obscure any copyright or other proprietary notices contained in the Game.
  • Use the Game for any commercial purpose, including but not limited to operating commercial gaming services or reselling in-game items outside the Game.
  • Use bots, scripts, automation tools, or exploits to manipulate gameplay, currency generation, or transaction systems.
  • Interfere with or disrupt the Game's connection to blockchain networks or third-party services.
  • Manipulate device clocks or system time to gain unfair advantages or exploit offline income mechanics.

4. Intellectual Property

All rights, title, and interest in and to the Game, including but not limited to all artwork, audio, character designs, game mechanics, user interface elements, and software, are and shall remain the exclusive property of the Licensor. This license does not transfer any ownership rights to You.

5. Blockchain and Digital Assets

5.1 Wallet Interaction

The Game integrates with the Solana blockchain via third-party wallet applications (e.g., Phantom, Solflare, Backpack, Seed Vault). The Licensor does not have access to, store, or control Your private keys or seed phrases.

5.2 Transactions

In-game purchases are processed as token transfers (USDC or SKR) on the Solana blockchain. All blockchain transactions are final, irreversible, and publicly recorded on the Solana ledger. The Licensor is not responsible for failed, delayed, or misdirected transactions resulting from blockchain network issues, wallet malfunctions, or user error.

5.3 NFT Verification

The Game supports optional NFT ownership verification for the Sensei Panda collection. Verification is performed via off-chain message signing and on-chain asset queries. The Licensor does not mint, sell, or manage NFTs through this Game.

5.4 No Financial Advice

Nothing in the Game constitutes financial, investment, or trading advice. You are solely responsible for understanding the risks associated with cryptocurrency transactions and digital asset ownership.

6. In-App Purchases

The Game offers optional in-app purchases using cryptocurrency tokens (USDC and SKR) on the Solana blockchain. All purchases are voluntary and non-refundable. Virtual items and currencies obtained through purchases have no real-world monetary value outside the Game.

7. Advertisements

The Game may display optional rewarded video advertisements provided by Unity Ads. Viewing advertisements is voluntary and not required for core gameplay.

8. Third-Party Services

The Game relies on the following third-party services, each subject to their own terms:

  • Solana Blockchain - Decentralized network for transaction processing.
  • Solana Godot SDK (MIT License, by VirusAxel and Thomukas1) - Blockchain integration library.
  • Helius RPC - Optional RPC provider for transaction fee estimation and network status.
  • Jupiter Finance API - Token price data for SKR/USDC conversion.
  • Unity Ads - Rewarded video advertisement service.
  • Mobile Wallet Adapter (MWA) - Standard protocol for Android wallet interaction.

The Licensor is not responsible for the availability, accuracy, or security of these third-party services.

9. Disclaimer of Warranties

THE GAME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE GAME WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DIGITAL ASSETS, CRYPTOCURRENCY, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE GAME OR BLOCKCHAIN TRANSACTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

This license is effective until terminated. The Licensor may terminate this license at any time if You breach any terms of this Agreement. Upon termination, You must cease all use of the Game and delete all copies. Termination does not affect blockchain transactions already recorded on the Solana ledger.

12. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising from this Agreement shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to This Agreement

The Licensor reserves the right to modify this Agreement at any time. Continued use of the Game after changes are posted constitutes acceptance of the modified terms.
